1. General Information

These terms and conditions (hereinafter, "Terms") govern the access and use of the website stayfritz.es (hereinafter, the "Website") and the services offered by:

Accessing and using this Website implies acceptance of these Terms. If you do not agree with any of them, please do not use the Website.

2. Definitions

  • "Owner": Natural or legal person who owns a property (hotel, tourist apartment, vacation rental, or other accommodation) that contracts StayFritz Spain's services.
  • "Guest": Person who makes a reservation or stays at a property managed by StayFritz Spain.
  • "Services": The set of Hotel Tech, Hotel Management, and Hotel Operations services described in section 3.
  • "Platform": The technological tools, software, and AI systems developed or used by StayFritz Spain for the provision of Services.

3. Description of Services

STAYFRITZ SPAIN, S.L. offers the following professional services in the hospitality and tourism sector:

3.1 Hotel Tech

Development and implementation of technology solutions for the hotel industry, including:

  • AI agents for automated guest communication
  • Dynamic pricing systems based on artificial intelligence
  • Accounting and invoicing automation
  • Integration with PMS, channel managers, and booking platforms

3.2 Hotel Management

Comprehensive hotel management and property management services, including:

  • Complete management of tourist properties (hotels, apartments, vacation rentals)
  • Revenue optimization and revenue management
  • Guest experience management
  • Preventive and corrective maintenance
  • Staff management and service coordination

3.3 Hotel Operations

Operational solutions for hotel owners, including:

  • Guaranteed lease of hotel properties
  • Revenue share agreements with owners
  • Hotel succession solutions
  • Property acquisition and transformation
  • Advisory on tourism licenses (ETV, VUD) and regulatory compliance

4. Contractual Relationship

The contracting of StayFritz Spain's Services is formalized through individual agreements with each Owner. These Terms do not constitute a service contract, but rather the general conditions of use of the Website and the general framework applicable to our relationship.

The specific conditions of each service (scope, price, duration, service level) are determined in the corresponding individual contract.

5. Website Use

The user agrees to use the Website in accordance with the law, these Terms, morality, and public order. In particular, the user undertakes to:

  • Provide truthful and up-to-date information in any form on the Website.
  • Not use the Website for illegal, fraudulent purposes or purposes that infringe on the rights and interests of third parties.
  • Not attempt to access restricted areas of the Website or alter its operation.
  • Not reproduce, distribute, or modify the content of the Website without express authorization.

6. Intellectual and Industrial Property

All content on the Website, including texts, images, photographs, graphics, logos, icons, software, source code, and design, is the property of STAYFRITZ SPAIN, S.L. or its licensors, and is protected by Spanish and EU intellectual and industrial property laws.

The "StayFritz" brand and its variations are registered trademarks. Their reproduction, distribution, public communication, or transformation without express written authorization is prohibited.

7. Data Ownership

Data provided by the Owner and data generated in connection with their properties (bookings, revenue, operational reports) are and shall remain the property of the Owner. StayFritz Spain does not claim any ownership rights over this data.

StayFritz Spain may use anonymized and aggregated data, which does not allow the identification of individual owners or guests, for the purpose of improving its services, market analysis, and research.

8. Confidentiality

All commercial, financial, and operational information shared by Owners with StayFritz Spain will be treated as strictly confidential. This obligation includes, without limitation:

  • Economic conditions of management agreements
  • Financial performance data of properties
  • Commercial and pricing strategies
  • Information about guests and bookings
  • Technical and operational data of properties

This confidentiality obligation shall remain in force during the contractual relationship and for two (2) years following its termination.

9. Third-Party Integrations

In the provision of Services, StayFritz Spain uses and integrates third-party platforms and services, including booking platforms (Booking.com, Airbnb, Expedia), property management systems (PMS), channel managers, and payment processors.

StayFritz Spain is not responsible for interruptions, errors, or changes in the terms of service of these third-party platforms. We will make all reasonable efforts to minimize the impact of such incidents on the Services.

10. Artificial Intelligence Services

Our Hotel Tech services include tools based on artificial intelligence. Regarding these services:

  • AI-generated pricing recommendations are indicative. The final decision on pricing rests with the Owner or authorized manager.
  • Automated responses to guests are based on information provided by the Owner. StayFritz Spain does not guarantee the accuracy of AI-generated responses in all scenarios.
  • Any decision with significant impact (cancellations, refunds, substantial price changes) requires human oversight.
  • We comply with Regulation (EU) 2024/1689 (AI Act) regarding transparency and oversight of the AI systems used.

11. Tourism Regulatory Compliance

StayFritz Spain operates in compliance with applicable tourism regulations, including:

  • Autonomous community tourism regulations of the Balearic Islands and other autonomous communities where we operate.
  • Royal Decree 933/2021, on the obligation to register and communicate traveler data.
  • Tourism license requirements (ETV, VUD) and registration with competent authorities.
  • Consumer protection regulations (Royal Legislative Decree 1/2007, TRLGDCU).

The Owner is responsible for maintaining all licenses and permits necessary for the tourist operation of their property. StayFritz Spain can advise on obtaining licenses, but the ultimate responsibility lies with the Owner.

12. Limitation of Liability

StayFritz Spain shall not be liable for:

  • Indirect, incidental, or consequential damages arising from the use of the Website.
  • Temporary service interruptions due to maintenance, updates, or causes beyond our control.
  • Content of third-party websites linked from our Website.
  • Loss of revenue derived from external market factors, regulation, or force majeure.
  • Actions or omissions of third-party platforms (OTAs, payment processors, etc.).

The above limitation shall not apply in cases of willful misconduct, gross negligence, or violation of fundamental rights, nor when applicable legislation does not allow such limitation.

13. Force Majeure

StayFritz Spain shall not be liable for the breach of its obligations when such breach is a consequence of force majeure events, including, without limitation: natural disasters, pandemics, strikes, armed conflicts, telecommunications infrastructure failures, legislative or regulatory changes, or governmental authority decisions.

14. Consumer Rights

In accordance with Royal Legislative Decree 1/2007 (TRLGDCU) and Directive 2011/83/EU, tourist accommodation services are excluded from the right of withdrawal provided for distance contracts (Article 103.l TRLGDCU), as they are services related to accommodation for a specific period.

Guests have the right to request official complaint forms, which we will make available in accordance with applicable autonomous community regulations.

15. External Links

The Website may contain links to third-party websites. StayFritz Spain has no control over the content of such sites and assumes no responsibility for them. The inclusion of a link does not imply endorsement of the linked site's content.

16. Prices and Taxes

In accordance with the LSSI-CE, when prices are indicated on the Website or in commercial proposals, it will be specified whether or not they include Value Added Tax (VAT) and any other applicable taxes. Service fees are detailed in individual contracts with each Owner.

17. Modifications

StayFritz Spain reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the Website. Continued use of the Website after publication of modifications will constitute acceptance of the modified Terms.

18. Severability

If any clause of these Terms is declared null or unenforceable by a competent court, the remaining clauses shall remain in full force and effect. The null clause shall be replaced by another that fulfills the intended purpose to the extent possible.

19. Applicable Law and Jurisdiction

These Terms are governed by Spanish law. In case of versions in different languages, the Spanish version shall prevail.

For any dispute arising from the interpretation or application of these Terms, the parties submit to the Courts and Tribunals of Palma de Mallorca, unless applicable legislation establishes a different jurisdiction for consumers and users.

In accordance with Regulation (EU) 524/2013, we inform you that the European Commission provides a platform for online dispute resolution (ODR):
